These licence terms govern your use of Governance Hub, software developed and owned by PolicySight Ltd, a company registered in England and Wales ("PolicySight", "we", "us"). Your use of Governance Hub is also subject to the separate commercial agreement between your organisation and PolicySight, which sets out the full and binding terms. Where these terms and that agreement differ, the commercial agreement prevails.
Subject to the commercial agreement between your organisation and PolicySight, we grant your organisation a non-exclusive, non-transferable licence to install and use Governance Hub within your own Microsoft 365 tenant and Azure subscription for your internal governance purposes. If you are installing for evaluation, your use is subject to the evaluation terms communicated to you by PolicySight.
Governance Hub is deployed entirely within your own Microsoft 365 tenant and Azure subscription. PolicySight does not host, store, or process your data in the normal operation of the software. Your governance records, documents, and user identities remain in your own Microsoft environment and under your control at all times. Any limited access for support or maintenance is provided only where you request it and is governed by your agreement with PolicySight.
You may use Governance Hub only as permitted by your commercial agreement and applicable law. You may not:
PolicySight retains all intellectual property rights in Governance Hub, including all software, templates, and documentation. You retain all rights in your own data. No rights are granted other than as expressly set out here or in your commercial agreement.
Updates, new versions, and technical support are provided under a separate Support and Maintenance arrangement with PolicySight, where taken. The terms of that arrangement determine what is provided and for how long.
The warranties we give, and the limits of our liability, are set out in full in your commercial agreement with PolicySight. Except as expressly stated in that agreement, and to the maximum extent permitted by law, Governance Hub is provided without further warranties. Nothing in these terms limits any liability that cannot be limited or excluded by law.
The duration of your licence and the circumstances in which it may end are set out in your commercial agreement. Where you hold a paid-up perpetual licence, that licence continues in accordance with the commercial agreement, so that software already deployed in your own tenant is not withdrawn on account of the end of any support arrangement.
These terms and your commercial agreement are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless your commercial agreement states otherwise.
